Welcome to einfrasouq.com ("Website", "Platform", "we", "our", or "us"). These Terms and Conditions ("Terms") govern your access to and use of our B2B e-marketplace platform, which facilitates business transactions between verified buyers and sellers of building materials.

By accessing or using the platform, you agree to be bound by these Terms. If you do not agree, please do not use the Website.

1. Definitions

  • User: Any individual or entity registered on the platform, whether as a buyer or seller.
  • Buyer: A registered contractor, construction company, or procurement professional who sources building materials via the platform.
  • Seller: A registered supplier or manufacturer of building materials approved to list products on the platform.
  • Order: A formal request made by a Buyer to purchase products from one or more Sellers via the Platform.
  • Services: Access to product listings, order facilitation, communication tools, reporting dashboards, and related features.
  • einfrasouq.com: The service provider operating as a facilitator, not a seller, reseller, or payment intermediary.

2. Platform Role

We do not hold inventory, do not process payments, and are not a party to the contract of sale between Buyers and Sellers.

We facilitate:

  • Product listings
  • Search and discovery
  • Order placement and communication
  • Order tracking and purchase documentation

All financial transactions and delivery arrangements occur directly between Buyers and Sellers.

3. User Eligibility and Registration

  • Only businesses or professionals operating in the construction or building materials industry are eligible to register.
  • All Users must undergo a verification and approval process prior to accessing the full platform.
  • Users agree to provide accurate, complete, and up-to-date information, including legal company documents where required.
  • We reserve the right to approve or reject any application at our sole discretion.

4. Account Responsibility

  • You are responsible for maintaining the confidentiality of your login credentials.
  • Any activity conducted through your account will be considered as authorized by you.
  • You agree to notify us immediately of any unauthorized access or suspected breach in writing.

5. Seller Terms

Sellers agree to:

  • List accurate, complete, and legally compliant product information.
  • Honor accepted orders as per agreed delivery terms and specifications.
  • Provide clear bank details upon order confirmation.
  • Deliver materials in the specified quantity and quality.
  • Respond to Buyer inquiries, order requests, and disputes in a timely and professional manner.

Sellers must not:

  • Misrepresent product information or pricing.
  • Attempt to contact or solicit Buyers outside the platform unless authorized.
  • Post counterfeit, illegal, or banned products.

6. Buyer Terms

Buyers agree to:

  • Use the platform only for legitimate procurement needs.
  • Submit accurate order requests and confirm acceptance terms.
  • Make payment directly to Sellers as per the bank details shared.
  • Upload proof of payment promptly to allow order processing.
  • Rate suppliers honestly and fairly after order fulfillment.

Buyers must not:

  • Abuse the discount request system.
  • Mislead Sellers with fake or unverifiable order requests.
  • Delay payment or breach agreed terms.

7. Product Listings and Content

  • Sellers are solely responsible for the content of their product listings.
  • All content (descriptions, images, prices, specifications) must be accurate and not infringe any intellectual property rights.
  • We reserve the right to remove any listings that violate our guidelines or laws.

8. Order and Transaction Process

  • Buyer adds products to cart from one or more Sellers.
  • Orders are split by supplier and submitted as separate requests.
  • Each Seller reviews and accepts/rejects the request.
  • Upon acceptance, Buyer receives order confirmation with the Seller’s bank details.
  • Buyer transfers payment directly to Seller and uploads proof.
  • Seller processes and delivers the materials per agreed timeline and uploads proof.
  • einfrasouq.com is not liable for any delays, damages, or losses arising from the execution or non-execution of the transaction.

9. Fees and Monetization

  • Registration charges for Buyers and Sellers.
  • Subscription charges for Buyers and Sellers.
  • Product listing fees.
  • Commission on Seller's monthly sales.
  • Paid product promotions and advertising slots.
  • All other charges.
  • Failure to pay applicable fees may result in account suspension or restrictions.

10. Prohibited Activities

  • Use the platform for personal, non-business purposes.
  • Post misleading, defamatory, or illegal content.
  • Attempt to bypass the platform to conduct off-platform transactions.
  • Copy, scrape, or reverse-engineer any part of the Website.
  • Impersonate another user or entity.
  • Violations may result in termination and potential legal action.

11. Platform Availability and Limitations

  • Modify or suspend any part of the Website.
  • Update features or interfaces.
  • Conduct scheduled or emergency maintenance.

12. Intellectual Property

  • All platform content, code, design, and trademarks are the property of einfrasouq.com unless otherwise stated.
  • Users may not reuse, reproduce, or distribute platform materials without permission.
  • Sellers retain ownership of their own content but grant us a license to display and promote it.

13. Disclaimers and Limitation of Liability

  • einfrasouq.com is not responsible for the performance, quality, or delivery of any goods sold through the platform.
  • We make no warranties regarding the accuracy of Seller listings or Buyer requests.
  • We are not liable for financial losses, business interruptions, contractual disputes between Users, or payment fraud or misrepresentation by Users.
  • Our total liability, in any case, shall not exceed the amount paid by you (if any) for platform services in the previous 3 months.

14. Dispute Resolution

  • We may assist in resolving disputes between Buyers and Sellers in good faith, but are not obligated to arbitrate or enforce outcomes.
  • Users agree to first attempt resolution directly.
  • In unresolved cases, Users may contact our support team. Repeated disputes or negative ratings may impact account standing.

15. Termination

  • We may suspend or terminate your account if you violate these Terms or applicable laws.
  • You engage in fraudulent, abusive, or non-compliant behavior.
  • You fail to pay applicable fees or commissions.
  • You may also request account closure by contacting support@einfrasouq.com.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the Sultanate of Oman, without regard to conflict of laws. Disputes shall be subject to the exclusive jurisdiction of courts in Muscat, Oman.

17. Changes to Terms

We reserve the right to update these Terms at any time. Updated versions will be posted on this page with the "Last Updated" date. Continued use of the Website after such changes constitutes your acceptance.
